SUBSCRIPTION AND CANCELLATION POLICY
THAT LAB™

Effective Date: July 29, 2026

This Subscription and Cancellation Policy applies to every recurring subscription and membership sold by DIGITLIGHT IT LLC, doing business as THAT LAB and THAT LAB™ (“THAT LAB,” “Company,” “we,” “us,” or “our”), including THAT LAB Maker Club, standalone That FlexCircuit Basic, Maker, and Ultimate subscriptions, and any other current or future Company downloadable software, installed software, cloud-connected software, hosted software, software-as-a-service offering (“SaaS”), online tool, platform, or related software service sold on a recurring basis.

This Policy supplements the applicable Order, Terms of Service, Refund Policy, Privacy Policy, and any product-specific EULA, SaaS terms, or other Product Terms. For That FlexCircuit, it supplements the That FlexCircuit End User License Agreement (“EULA”). If a third-party marketplace or authorized channel bills your Subscription, that channel’s procedures may also apply.

1. MATERIAL SUBSCRIPTION TERMS

Before you enroll in an automatically renewing Subscription, the applicable product page, Order, or checkout will identify the material terms, which may include:

• the product, plan, or membership;
• the price and applicable taxes;
• whether billing is monthly, annual, or another disclosed interval;
• the length and terms of any trial or promotional period;
• when the first charge occurs;
• whether and how the Subscription renews automatically;
• the minimum commitment, if any;
• how to cancel future renewal;
• the principal features, device or user quantity, and other material limits.

Where required by law, we will obtain affirmative consent to automatic renewal separately or in another clear manner and will retain reasonable records of that consent.

2. AUTOMATIC RENEWAL

Unless the applicable Order expressly states otherwise, a Subscription automatically renews at the end of each billing period and the authorized payment method is charged the applicable amount, plus taxes, until you cancel future renewal. For a qualifying Continuous Subscription, the applicable recurring base amount is the Protected Subscription Price described in Section 3.

A renewal creates a new paid Subscription term. If a payment is declined or cannot be completed, we or the payment provider may retry the charge, request updated billing information, provide a limited payment grace period, suspend access, or allow the Subscription to expire, as permitted by the Order and applicable law.

We may provide renewal reminders, trial-ending notices, notices concerning a customer-requested plan or billing change, and other notices where required by law, the Order, or our policies. A general increase in the listed price does not change the Protected Subscription Price of a qualifying Continuous Subscription. You are responsible for keeping your account and purchase email current.

3. COMPANY-WIDE CONTINUOUS-SUBSCRIPTION PRICE PROTECTION

This Section creates a Company-wide price-protection rule for qualifying recurring Subscriptions. It applies equally to THAT LAB Maker Club and to every current or future Company Software or SaaS Subscription, regardless of whether the product is downloadable, installed, cloud-connected, fully hosted, sold separately, or bundled with a membership.

The “Protected Subscription Price” is the recurring base price accepted when a specific Subscription first becomes active for a particular product or membership, plan, and billing interval. A temporary introductory, trial, coupon, or promotional discount is not the Protected Subscription Price unless the applicable Order or written offer expressly states that the discounted recurring price is protected.

We will not increase that Protected Subscription Price while the same Subscription remains continuously active and in good standing for the same product or membership, plan, and billing interval. Later increases in the publicly listed price apply only to:

• a new customer who begins a Subscription after the increase;
• a former subscriber who subscribes again after the prior Subscription expired or ended;
• an existing subscriber who starts a separate or replacement Subscription;
• an existing subscriber who voluntarily changes to another product, membership, plan, or billing interval, unless the change offer expressly preserves another price.

Price protection continues through ordinary automatic renewals. It also continues during an applicable payment retry or grace period if the payment issue is cured and the billing provider keeps the same Subscription active without expiration or replacement. A temporary technical restriction, security review, or administrative hold does not end price protection while the Subscription remains paid and is restored without expiration or replacement.

Price protection ends when the Subscription actually expires, an effective cancellation takes effect at the end of the paid term, a full refund or payment reversal is processed, a chargeback causes termination, the Subscription is Immediately Terminated, or the customer voluntarily replaces it with a new Subscription. A Company-initiated administrative rename, internal product mapping change, billing-system migration, hosting migration, platform migration, product rebranding, or substantially equivalent replacement does not end price protection if the same continuous entitlement and billing interval are preserved. The Company will not discontinue and immediately recreate substantially the same Subscription for the purpose of avoiding the Protected Subscription Price. If you submit a Notice of Non-Renewal and withdraw it before the current paid term expires, price protection continues only if the billing provider restores renewal on the same uninterrupted Subscription.

The Protected Subscription Price does not include taxes, government-imposed charges, separately disclosed third-party billing charges, optional add-ons, additional device or user quantities, one-time purchases, or separately purchased services. Changes to those amounts are not treated as increases to the Protected Subscription Price.

A temporary promotion or discretionary credit does not permanently reduce the Protected Subscription Price unless the applicable Order or written offer expressly states that the lower recurring price becomes protected. We may voluntarily lower an existing subscriber’s recurring price or provide a more favorable term without waiving these rules.

4. HOW TO CANCEL FUTURE RENEWAL

You may submit a Notice of Non-Renewal using any cancellation method made available for your Subscription, including:

• the subscription-management controls in your customer account, where available;
• the cancellation or management link in your purchase or subscription confirmation;
• a cancellation method provided by the marketplace or authorized channel through which you subscribed;
• contacting us at hi@thatlabzone.com with “Subscription Cancellation” in the subject line and identifying the purchase email and affected Subscription.

Submit the cancellation before the next renewal charge. Cancellation requests received after a renewal has already been processed apply to future renewal unless a refund is approved or applicable law requires another result.

Where required, we will provide a confirmation of cancellation or non-renewal. Keep that confirmation. If you do not receive confirmation, contact us promptly.

5. EFFECT OF CANCELLATION

A cancellation that stops future renewal is a “Notice of Non-Renewal.” Unless an approved refund, immediate-cancellation option, applicable Order, or law provides otherwise:

• the Notice of Non-Renewal prevents the next renewal;
• the Subscription remains active through the end of the then-current paid term;
• access does not end merely because future renewal has been canceled;
• no new recurring charge should be made after the effective cancellation date.

Stopping use, uninstalling Software, deleting an application, failing to sign in, or allowing a payment method to expire does not reliably cancel automatic renewal. Use an authorized cancellation method.

6. SOFTWARE AND SAAS SUBSCRIPTIONS

A Company Software or SaaS Subscription grants the product, plan, hosted access, features, users, devices, usage allowance, storage, or other entitlement identified in the applicable Order and Product Terms while the Subscription is active and in good standing. A Notice of Non-Renewal normally leaves that access active through the end of the current paid term. When the term expires without renewal, the contractual right to use the affected proprietary Software or SaaS Service ends or changes as stated in the applicable Product Terms.

A standalone That FlexCircuit Subscription grants the Basic, Maker, or Ultimate plan identified in the applicable Order while the Subscription is active and in good standing.

A Notice of Non-Renewal normally leaves the applicable plan active through the end of the current paid term. When that term expires without renewal, the contractual right to use the proprietary portions of the affected plan ends.

That FlexCircuit may permit limited offline use following a successful authenticated online validation, as described in the EULA. Offline authorization does not extend the Subscription term and may end earlier after an approved refund, payment reversal, Immediate Termination, or another authoritative loss of entitlement.

7. THAT LAB MAKER CLUB

While an eligible THAT LAB Maker Club membership remains active and in good standing, it includes the benefits stated in the applicable Order. The Protected Subscription Price applies to the recurring membership price whether the billing interval is monthly, annual, or another disclosed interval; the protection is not limited to a “monthly price.” Unless the Order expressly states otherwise, the bundled That FlexCircuit benefit is the Maker plan, not the Ultimate plan. Future Software or SaaS benefits are included only when the applicable Order or membership terms expressly identify them.

A Notice of Non-Renewal normally leaves the Maker Club membership and bundled Maker-plan entitlement active through the end of the current paid membership term.

When the membership expires without renewal, is refunded, reversed, or otherwise subject to Immediate Termination, the bundled Maker-plan entitlement ends with the membership. It cannot be separated, retained, transferred, or converted into a perpetual That FlexCircuit license.

8. PLAN CHANGES, UPGRADES, AND DOWNGRADES

Where the account or checkout permits a plan change, the effective date, price adjustment, proration, credit, feature changes, and effect on price protection will be disclosed before confirmation. Unless the applicable change offer expressly states otherwise, changing the product, plan, or billing interval ends the prior Protected Subscription Price and the then-current price for the selected new arrangement applies.

Unless expressly stated otherwise:

• a voluntary downgrade takes effect at the end of the current paid term;
• an upgrade may take effect immediately or at renewal according to the terms displayed when selected;
• changing a plan does not create a refund except as expressly stated or required by law;
• device, user, feature, component, canvas, or other limits may change when the new plan becomes effective.

9. REFUNDS AND THE 14-DAY INITIAL-PURCHASE WINDOW

Canceling future renewal does not automatically create a refund.

Under the Refund Policy, you may request a full refund within fourteen (14) days after the initial purchase of an eligible Subscription, whether billed monthly, annually, or at another disclosed recurring interval. This initial-purchase window does not ordinarily apply to renewal charges or later payments.

An approved full refund normally causes Immediate Termination of the refunded Subscription and associated digital or Software entitlement. You must stop using refunded proprietary access. Where applicable, a hosted account, software entitlement, server-issued authorization, or locally stored offline authorization may be disabled, revoked, or cease to authorize use.

10. FAILED PAYMENTS, REVERSALS, AND CHARGEBACKS

A failed payment may result in a retry, request for updated billing information, temporary suspension, or expiration.

A refund, payment reversal, chargeback, fraudulent transaction, or chargeback abuse may cause Immediate Termination or security review of the affected entitlement. We may preserve transaction, license, device, and security records reasonably necessary to investigate and resolve the matter.

A legitimate billing dispute does not waive non-waivable consumer rights.

11. THIRD-PARTY OR MARKETPLACE BILLING

If you purchased through a third-party marketplace, app store, reseller, payment provider, or other authorized channel, you may need to cancel through that channel. Its billing, renewal, cancellation, and refund procedures may apply in addition to this Policy.

Contact the billing channel shown on your receipt if the Subscription does not appear in your THAT LAB customer account.

12. PRICES FOR NEW SUBSCRIPTIONS AND MATERIAL TERM CHANGES

We may change listed prices for customers who have not yet subscribed and for new, separate, replacement, or reactivated Subscriptions. This rule applies across the Company’s recurring offerings, including memberships, desktop software, cloud-connected software, and SaaS. We will not apply a listed-price increase to the ordinary renewal of a qualifying Continuous Subscription for the same product or membership, plan, and billing interval.

We will provide advance notice of a material change to non-price renewal terms where required by law or the applicable Order. If a customer voluntarily selects a different product, plan, billing interval, quantity, or other price-affecting term, the price and effect on price protection will be disclosed before confirmation.

13. NON-WAIVABLE RIGHTS

Nothing in this Policy limits a cancellation, refund, rescission, disclosure, notice, or other consumer right that cannot lawfully be waived.
